Company Terms

Version 1, in effect from 12 Oct 2026

1. Who these terms are between. These Company Terms are between WEBISCOPIC SDN. BHD., Registration No. 202301024302 (1518225-U), whose registered address is NO 110, JALAN LAPANGAN TERBANG, 31350 IPOH, PERAK, MALAYSIA, called "we", and the business that accepts them, called "you" or "your company": a company, a limited liability partnership, a partnership or a sole proprietorship. They are one of two documents your company accepts before it can trade on Legasiku. The other is the Processing Terms. These terms apply to everything your company does on Legasiku: selling, sending price offers, being given work and taking part in a Chapter's referral network. When you sell through Legasiku, your contract is with the customer, not with us. We are not a party to it, and we never say that we supply, fix, deliver or install what you sell.

2. Accepting these terms for your company. (a) We create your company's record on Legasiku from the details your company gives us, and we name, by their email address, the person who will accept these terms for it. Creating the record is never an acceptance. We never accept these terms for you, and nothing is accepted until that person accepts, in a step of their own. (b) We send that person a link. They sign in to Legasiku with that same email address, read these terms and the Processing Terms, and accept both for your company in one step. Each of the two documents is recorded as accepted on its own. (c) The person accepts in one of these capacities, according to your company's form: for a company (Sdn. Bhd. or Bhd.), a director named in the company's SSM profile, or a person named in a board resolution or letter of authority; for a limited liability partnership, a partner, or a person named in a letter of authority; for a partnership, a partner; for a sole proprietorship, its owner. A power of attorney cannot be used to accept online, because the law does not allow one to be made electronically. (d) The person gives their full name as the SSM profile or the letter shows it and, for a board resolution or letter of authority, its reference and the date on it, and confirms that they are allowed to accept these terms for your company. A Legasiku staff account cannot accept. (e) For each document accepted, we record your company, the account of the person who accepted, their capacity, the name and other evidence they gave, the version accepted with a code that identifies its exact text, and the date and time. Accepting electronically in this way is recognised by the Electronic Commerce Act 2006, and that record is the evidence of the acceptance. (f) Once both documents are accepted, your company becomes active on Legasiku, and the person who accepted becomes its first owner there, shown as its director, authorised representative, partner or owner, according to their capacity. (g) If that person's authority ends, your company tells us at once. We may ask at any time for evidence of the authority of the person who accepted.

3. Who may take part. Any business that sells through Legasiku, of any form, must be registered with SSM. We record your SSM number when we create your company's record, and a business without one cannot become active on Legasiku. If your business is a sole proprietorship, "you" means its owner, who is bound by these terms personally. If it is a partnership, "you" means its partners, and the partnership is bound through the partner who accepts. You give us true details and keep them true.

4. What we check, and what we say about it. (a) Before your company can sell, we approve it as a seller, and we check: its name, SSM number and registered address, against SSM's own records; its email address and phone number, by a one-time code or another check we record; and, where its trade address differs from its registered address, the trade address, against a document. (b) Each check records its source, its date, its result and the Legasiku staff member who reviewed it. A passed check lapses one year after the day it was made, and an email or phone check stops counting as soon as that email address or phone number changes. (c) Your company may sell only while it is approved and its latest checks have passed and not lapsed. While that is not so, its offers are taken off Legasiku, and it cannot publish an offer, receive a new request, send a price offer or be given work, until a new check passes. (d) We show "Verified by Legasiku", with the date of our check, only while a stored record of a passed SSM check that has not lapsed stands behind it. Anything we have not checked reads "Declared by the company, not verified". We never label your company with words such as "verified company", "trusted", "guaranteed", "original", "genuine", "approved", "SIRIM" or "halal" unless a stored certificate or check record backs them. (e) Where the rules Legasiku sets for a kind of work require a licence, approval or certificate, you record it on Legasiku before you can publish an offer, send a price offer or be given work of that kind, and it stops counting on its last day. (f) The Consumer Protection (Electronic Trade Transaction) Regulations 2024 (P.U.(A) 449/2024) require us to keep a record of each seller: its name, address, telephone number, identity card or passport number, business account number and email address, the website address it uses, its trade or company registration number, and records of its advertisements and transactions. You give us any of these we ask for, and keep them true. We keep personal data in this record only as the Processing Terms and our privacy notice say.

5. Your duties as a seller. When you sell through Legasiku, you are a "supplier" under the Consumer Protection Act 1999 and an "online marketplace supplier" under those Regulations. You must: (a) give, on Legasiku, for each offer and each price offer: your registered name; your email address and phone number; the address from which you trade; a description of the main features of what you sell; the full price, including transport, tax and every other charge; how payment is made; your terms of sale; the estimated time of delivery or of supplying the service; and, where one applies, the certificate that it meets the safety and health standard set by the competent authority; (b) never give information that you know, or have reason to believe, is false or misleading; (c) give those details in Bahasa Melayu, the national language, as regulation 4 of those Regulations requires; you may add other languages, and Legasiku does not translate your details for you; (d) where you have agreed to take payment, bear the cost of delivering goods again if what the customer received is materially different from what was offered or has defects, and supply services that are reasonably fit and as offered; (e) let the customer correct an error before and after they confirm an order, answer a customer's report of an error in a job, and acknowledge each order without undue delay; (f) keep records of your own advertisements and transactions; (g) answer complaints about you and take part in putting them right; (h) hold every licence, approval, certificate and registration that your work or goods need, including registration under the Personal Data Protection Act 2010 where your class of business must register, and never publish an offer that the law says needs an approval you do not hold. We show the price you give, in full. We never round it, discount it, convert it or compare it with another price.

6. Reports that something you said is false. (a) Anyone may report, on Legasiku, that something your company says about itself or what it offers is false or misleading. (b) We put such a report under review within 2 working days and decide on it within 10 working days. A report about safety, a health claim, prohibited goods, halal or electrical goods is urgent. We look at an urgent report within 1 working day and decide on it within 3 working days. A working day is Monday to Friday, Malaysian time. (c) A report is under review once a Legasiku staff member records a finding on it, with the reason: to confirm what your company said, to ask it to correct it, or to take it down. A different staff member then decides whether the finding stands. We keep each finding and each decision, with its reason, as a record of the care we took. (d) While a report about your company is under review, your company's listings are held off Legasiku. If a finding to take something down stands, it stays down. (e) When a finding stands, we tell your company and the person who made the report. (f) We may also take down anything that breaks these terms or the law, and we may suspend your company as clause 13 says.

7. Your terms of sale, and the floor. (a) For each offer, you write your refund policy, your warranty period and your cooling-off statement in Bahasa Melayu and, if you wish, in English. An offer cannot be published while any of them is missing in Bahasa Melayu. They come with every price offer you send for that offer. (b) Legasiku refuses, before it is saved and again before it is published, a term that signs away a customer's rights, such as "no refund", "no warranty" or "sold as is", or that offers instalments, credit or financing. (c) This term applies to every offer and price offer your company makes on Legasiku, and you cannot change it: "The floor prevails. A contrary term added by the company has no effect." The floor is every right the law gives a customer. Your company never relies, against a customer, on a term that gives the customer less. (d) Default Supplier Terms, once we publish them, come with your company's offers only from a version of these terms that names them and is accepted for your company. You may then add to them, but never remove or weaken them. (e) Nothing in this clause narrows what the law gives a customer.

8. Introductions, credit and rewards. (a) Recognition credit is a record. It has no cash value, and it cannot be paid out, transferred, spent or exchanged. (b) You will not pay, give or promise any reward, in money, gifts or other benefits, to anyone because of the introductions record or credit. (c) Credit never changes who is matched, how offers are ranked or shown, or what a price is. Whether you pay a fee never changes who is introduced or credited. You will not ask us to change any of this. (d) Leaving a network is one act, with no condition. (e) If you break paragraph (b), we may suspend your company.

9. Companies owned in common, and no side letters. (a) Today a request on Legasiku reaches one company. Before a request can reach two or more companies owned in common, we will show the customer, beside each of their price offers, these words: "These companies share owners. Legasiku cannot confirm that their prices were set independently." (b) If a request reaches your company and another company owned in common with it, no one who prepared, approved or saw the other company's price offer on that request takes part in yours. (c) A company in the same company group as WEBISCOPIC SDN. BHD. is shown to customers with the words "Same group as Legasiku's operator", and accepts the same fees and the same version of these terms as every other company. (d) No side letter, discount, promise or other agreement between us and any company changes these terms. Only a new version does.

10. Fees and the pilot. (a) Your company starts on the pilot, which is free. The pilot lasts 90 days from the day we create your company's record on Legasiku. (b) The pilot never turns into a paid plan by itself. Your company pays a fee only if it signs our order form, which states the fee, the month from which your company is billed, and the number of days it has to pay. (c) The fee is RM99 a month for each company. A company that pays for its company group also pays RM349 a month for the group, from the group's second company. (d) The fees are stated before Service Tax. We add Service Tax only if, and from the day, we are registered for it, at the rate the law sets, and we show it on our bill. (e) We give no service credits during the pilot. (f) A fee paid by another company for your company is covered by that company's own agreement with us, not by these terms. (g) What happens when the pilot ends without an order form, or when a fee is unpaid, is in clause 13.

11. Our liability. (a) Our total liability to your company under or in connection with these terms is limited to the greater of: the fees your company paid us in the 12 months before the event that caused the loss; and RM50,000. (b) For our breach of the Processing Terms, or for a failure of our security, the limit is instead the greater of those fees and RM250,000. (c) No limit applies to our liability for fraud, for wilful misconduct, for death or personal injury caused by our negligence, or for anything else the law does not allow us to limit. (d) Nothing in these terms limits what a customer may claim from us or from your company, or what your company owes a customer. (e) We give no service credits during the pilot.

12. Covering a loss. (a) Your company makes good the loss that we, or customers on Legasiku, suffer because of: anything false that your company gave or showed on Legasiku; its licence or approval status, where it said it held one; how it carries out its work or supplies its goods; or a reward it paid or promised outside Legasiku for introductions. (b) Your company does not cover our own fines or penalties, or loss to the extent that it was caused by our own breach of these terms or our own negligence. (c) We tell your company promptly of any claim for which we will ask it to cover our loss, and give it a fair chance to answer the claim before we settle it.

13. Read-only, suspension and leaving. (a) Your company becomes read-only when its pilot ends and it has not signed an order form. We may also make it read-only when a fee is still unpaid 14 days after the date by which our bill says it must be paid. (b) Read-only stops only new offers and new price offers. Your company's staff can still enter it on Legasiku, answer complaints, read its records and carry on jobs already given to it. Signing an order form, or paying what is owed, makes it active again. (c) We may suspend your company only for one of these reasons: a check of ours failed or lapsed; a finding that your company said something false stands; your company broke these terms; or your company's SSM registration ended. We record the reason and why we applied it, and we tell your company's owners in writing, with how to ask us to look at it again. (d) While your company is suspended, its listings are off Legasiku and its staff cannot enter it on Legasiku. Customers keep the complaint channel and their own records, and we keep every record. Your company still owes customers what it agreed for jobs already given to it. (e) When the reason for a suspension is put right, we lift it and tell your company. (f) Your company may leave Legasiku at any time by telling us, and we then close its plan. Leaving does not end what your company owes customers for jobs already given to it. The Processing Terms say how your company can take a copy of its records when it leaves, and what happens to them after that.

14. Records we keep, each on its own clock. (a) We keep each version of these terms and of the Processing Terms, and the record of each acceptance, which says who accepted, in what capacity, with what evidence, which version and when, for 7 years after these terms end between us. (b) We keep your company's seller record and the record of each check for 7 years after your company leaves Legasiku; each version of your offers and of your company page for 6 years after a later version replaces it; and the records of requests, price offers, jobs, reports, complaints and suspensions for 6 years after they close. (c) Each record is kept for its own time, separate from the others. When its time ends, it is deleted, unless the law requires us to keep it longer.

15. No change without a new version. (a) We never change these terms for your company except by a new version. (b) We publish each new version on Legasiku with its number and the day it takes effect, and we show it on your company's terms page on Legasiku as waiting to be accepted. (c) A new version applies to your company only once the person named to accept for it accepts it, in a step of its own on that page. Until then, the version your company last accepted continues to apply, and nothing your company does on Legasiku stops because of the new version. (d) If your company does not want to accept a new version, it may leave at any time, as clause 13 says. (e) We keep every version, and each version stays readable on Legasiku.

16. Language, law and contact. These terms are published in English and Bahasa Melayu. Both texts carry equal weight; if they differ, the meaning that gives a customer more protection applies and, where no customer is affected, the meaning more favourable to your company. These terms are governed by the laws of Malaysia. The courts of Malaysia may hear a dispute about them, including the High Court in Sabah and Sarawak if your company's registered address is in Sabah or Sarawak. For support, and for any notice under these terms, contact us at webiscopic.com@gmail.com. We send notices to your company at the email address it gave us and to the person named to accept these terms for it. Legasiku is at https://legasiku.arifhusaini.com.
